Preamble

Welcome to solid.garden, a Geoscience-as-a-Service platform operated by DÉNES SZILÁRD e.v. These Terms of Service ("Terms") govern your access to and use of our services. By accessing or using solid.garden, you agree to be bound by these Terms.

1. Acceptance of Terms

1.1. By accessing or using solid.garden services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy and Data Processing & Upload Policy.

1.2. If you are registering on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

1.3. If you do not agree to these Terms, you may not access or use our services.

2. Service Description

2.1. solid.garden provides geoscience consulting services on a project basis. Each project is scoped and priced individually based on your specific needs.

2.2. Seismic Data Analysis: Seismic data loading and QC; AVO (Amplitude Versus Offset) analysis; RGT (Relative Geological Time) modeling; RGB spectral decomposition; PSA migration modeling.

2.3. Geological Services: Facies mapping; prospect ranking; Kingdom project cleaning; coordinate transformation; spatial data engineering (GIS).

2.4. Technical Services: VBA to C#/Python migration; technical web development; database design and optimization; workflow automation; code review and consulting.

2.5. Service Availability: We strive to provide 99.5% uptime; maintenance windows are announced in advance; projects are scoped individually; turnaround time is agreed per project.

3. Eligibility & Account Registration

3.1. Eligibility Requirements: Minimum age of 16 years (EU) or 18 years (US/rest of world); valid email address; legally capable of forming a binding contract; not previously suspended from our services; compliance with applicable export control laws.

3.2. Registration Requirements: Provide accurate and complete information; accept these Terms of Service; accept our Privacy Policy; accept our Digital NDA (Non-Disclosure Agreement); maintain and update your information.

3.3. Account Security: You are responsible for: maintaining the confidentiality of your password; all activities that occur under your account; notifying us immediately of unauthorized access; not sharing account credentials with others.

4. Payments & Billing

4.1. Project-Based Pricing: Each project is quoted individually based on scope, complexity, and turnaround requirements. Pricing is agreed before work begins.

4.2. Payment Terms: Payments processed via Stripe (PCI DSS Level 1 compliant); prices exclude applicable VAT (EU customers); payment methods include credit/debit card, SEPA (EU), wire transfer; currency is EUR (Euro); payment terms are agreed per project.

4.3. Cancellation & Refunds: You may cancel projects before work begins; cancellation takes effect upon confirmation; refunds are handled on a case-by-case basis; EU consumers have 14-day withdrawal right for first-time customers.

4.4. EU Consumer Rights (Directive 2011/83/EU): EU consumers have the right to withdraw from the contract within 14 days of agreement without giving any reason. This right does not apply once the service has been fully performed with your consent.

5. Confidentiality & Digital NDA

5.1. As part of registration, you must accept our Digital Non-Disclosure Agreement (Digital NDA). This agreement creates binding confidentiality obligations.

5.2. Definition of Confidential Information: All subsurface data, geological interpretations, project files, business information, and any non-public information shared between parties.

5.3. Obligations: Both parties agree to maintain the confidentiality of all proprietary information and not to disclose it to third parties without prior written consent, except as required by law.

5.4. No AI Training: Client data will never be used to train machine learning models or AI systems without explicit, separate consent.

5.5. Data Security: All confidential information is stored using AES-256 encryption and transmitted via secure channels (HTTPS/TLS 1.3). For the complete Digital NDA text, please see our Data Processing & Upload Policy.

6. User Obligations & Conduct

6.1. Prohibited Activities: You agree NOT to: upload malicious code, viruses, or harmful content; attempt to gain unauthorized access to our systems; interfere with service operation or security; reverse-engineer our platform or algorithms; use automated scraping tools without permission; impersonate others or misrepresent your identity; violate applicable laws or regulations.

6.2. Data Integrity: Upload only data you have rights to use; ensure data is free from malware and viruses; provide accurate metadata and labels; not infringe third-party intellectual property; comply with data ownership laws; maintain backups of your original data.

6.3. Professional Use: Communicate professionally and respectfully; provide clear project requirements; respond to requests for clarification; use services for legitimate business purposes; not exploit platform loopholes or bugs.

6.4. Compliance: Comply with all applicable laws; obtain necessary permits and licenses; respect export control regulations; follow geological data regulations; maintain regulatory compliance.

6.5. Violation Consequences: We reserve the right to suspend or terminate your account for violating these obligations, with or without prior notice. Serious violations may be reported to relevant authorities.

7. Data Ownership & Protection

7.1. Your Data Ownership: You retain full ownership of all data you upload to solid.garden, including: original subsurface data (seismic, well logs, maps); project specifications and requirements; documentation and metadata; interpretation notes and annotations. We are a data processor, not a data owner. Your data is used solely to provide services to you.

7.2. Deliverables Ownership: You own the deliverables created for your projects, subject to payment of applicable fees, including: seismic interpretations and reports; RGT models and facies maps; custom code and scripts developed for you; project-specific visualizations; technical documentation.

7.3. Data Protection Commitments: Multi-tenant isolation (your data is isolated by company_id, never accessible by other customers); AES-256 encryption at rest; TLS 1.3 encryption in transit; comprehensive audit logging; 7-day backup rotation with secure deletion; full compliance with EU data protection regulations (GDPR).

8. Intellectual Property Rights

8.1. Our Intellectual Property: solid.garden and its content, features, and functionality are owned by DÉNES SZILÁRD e.v. and protected by international copyright, trademark, and other intellectual property laws. This includes: platform software and algorithms; website design and content; documentation and training materials; proprietary methodologies; "solid.garden" name and logo.

8.2. License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to: access the platform during your project engagement; download deliverables for your projects; use deliverables for your business purposes. This license does not include the right to sublicense, modify, or create derivative works of our platform itself.

9. Deliverables & Project Outputs

9.1. Deliverable Formats: Depending on your project, deliverables may include: seismic interpretation projects (Kingdom, Petrel, OpendTect formats); geological maps and visualizations (PDF, GIS formats); RGT models and facies classifications (standard industry formats); analysis reports (PDF, Word, Excel); custom scripts and code (Python, C#, VBA, etc.); database exports (PostgreSQL, CSV, Shapefile).

9.2. Quality Assurance: All deliverables reviewed for technical accuracy; standardized QC procedures applied; format compatibility verified; documentation provided where applicable; revision cycles agreed per project.

9.3. Delivery Timeline: Turnaround time agreed per project; begins after all required data is received; complex projects may require adjusted timelines; progress updates provided regularly.

9.4. Revisions & Support: Each project includes reasonable revisions and clarifications on deliverables as agreed in the project scope. Scope changes or additional work may require separate agreements.

10. Termination & Cancellation

10.1. Termination by You: Cancel anytime by email request; effective at agreed point; refunds handled case-by-case; you may export your data before termination.

10.2. Termination by Us: We may suspend or terminate your account if: you violate these Terms of Service; you engage in fraudulent activity; payment is declined or past due; you misuse or abuse our services.

10.3. Effect of Termination: Access to platform and deliverables will cease; your data will be retained for 30 days (see Data Processing & Upload Policy); outstanding fees become immediately due; confidentiality obligations survive termination.

11. Limitation of Liability

11.1. Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2. Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DÉNES SZILÁRD E.V. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including: loss of profits, revenue, data, or business opportunities; interruption of business operations; cost of procurement of substitute services; damage to reputation or goodwill.

11.3. Maximum Liability: Our total liability to you for all claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim. In jurisdictions that do not allow limitation of liability, this limitation may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless DÉNES SZILÁRD e.v., its officers, directors, employees, contractors, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the services; your violation of these Terms; your violation of any third-party rights; data you upload or submit through the services; your violation of applicable laws or regulations. We reserve the right to control the defense and settlement of any indemnified claim at our sole expense.

13. Dispute Resolution & Governing Law

13.1. Governing Law: These Terms are governed by the laws of Hungary, without regard to its conflict of law principles. For EU consumers, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.

13.2. Dispute Resolution: We encourage amicable resolution of disputes; contact szilard@solid.garden with concerns; courts of Hungary have exclusive jurisdiction; EU consumers have alternative dispute resolution available.

13.3. EU Online Dispute Resolution: The European Commission provides an online dispute resolution platform: https://ec.europa.eu/consumers/odr.

14. Modifications to Terms

14.1. We may modify these Terms at any time. Material changes will be communicated by: posting updated Terms on our website; updating the "Last updated" date; emailing registered users for significant changes.

14.2. Continued use of the services after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cease using our services before the changes take effect.

14.3. Version History: January 8, 2026 – Comprehensive Terms of Service converted to traditional legal format.
